Valeo Service Smart Mobility Valeo Cyclee™ Warranty Charter

Definitions

  • "Electric Bicycles" means bicycles powered by an electric assist device and pedals.
  • "Territory" means all countries where Valeo Service Smart Mobility has a local representation and can therefore distribute the Products directly to Bicycle Shops.
  • "Bicycle Shop(s)" means the retailer(s) to whom the bicycle manufacturer(s) sell(s) their own Electric Bicycles. The term Bicycle Shop includes, inter alia, distributors, individual shops or distribution networks of such shops selling bicycles and/or specialist bicycle repair shops or distribution networks of such shops.
  • "Bicycle Manufacturer(s)" means the bicycle manufacturer(s) to whom Valeo sells its Products intended for the manufacture of electric bicycles.
  • "End User" means the first purchaser of an electric bicycle that incorporates a Product. End users can be individuals or businesses.
  • "Products" means an electronic control unit, a battery, a man-machine interface device or any other system or sub-system or combination of systems or sub-systems or components made available by Valeo to the Electric Bicycle market.
  • "Warranty" means the terms and conditions and process to be used by a Bicycle Shop in the event of warranty claims by an End User. Claims about defective Products made by Bicycle Shops prior to sale to the End User shall be dealt with by the Bicycle Manufacturers, or by Valeo Service if the defective Product has been sold by Valeo Service.

This Warranty Charter describes the warranty applicable to Products marketed by Valeo SVA or Valeo Service.

This Warranty is managed by Valeo Service through the Valeo Cyclee™ Technical hotline, which is the sole interface for managing Warranty claims. Valeo Service does not grant any specific commercial warranty directly to End Users. Any Warranty claim received from an End User must be addressed to a Bicycle Shop.

The scope, terms and conditions of the Warranty are as follows;

  • The Products are guaranteed against any non-compliance or against any operating defect making them unfit for use and originating from a design, manufacturing or material defect.

  • The Warranty is expressly limited to the replacement, free of charge, or compensation for the Products or components that Valeo has recognised as defective, to the exclusion of any compensation for any damage of any nature and for any cause whatsoever, and in particular to the exclusion of any compensation for consequential losses and damages of any kind whatsoever, with the exception of compensation due pursuant to a legal or regulatory provision.

  • The Warranty is valid for the following periods:

    • For private use: Twenty-four (24) months from the date of the first sale of the Electric Bicycle by the Bicycle Shop to the End User (up to a maximum of thirty-six (36) months from either the date of delivery of the Products from Valeo to the Bicycle Manufacturer, or from the date of delivery of the Product by Valeo Service Smart Mobility, if applicable)
    • For professional use: Twelve (12) months from the date of first sale of the Electric Bicycle (up to a maximum of twenty-four (24) months from either the date of delivery of the Product by Valeo to the Bicycle Manufacturer, or from the date of delivery of the Product by Valeo Smart Mobility Service, if applicable).

    Note: Bicycle Shops are advised to check the delivery date of the Electric Bicycles as mentioned in the Diagnostic Tool. The Warranty only covers Products initially fitted to the Electric Bicycle by a Bicycle Manufacturer or Products sold by Valeo Service.

  • Warranty claims made during the warranty period will be processed by the Bicycle Shop which:

    (i) has an active customer account on the Valeo B2B website "pro.valeocycle.com", (ii) follows the technical instructions available on the Valeo B2B website (Technical Bulletin and User Manual).

    By creating a customer account, the Bicycle Shop accepts the contents of this Warranty Charter and undertakes to strictly comply with Valeo's instructions for any intervention on the Electric Bicycle, in particular the installation, maintenance, diagnosis or repair of the Electric Bicycle. Failure by the Bicycle Shop to comply with Valeo's instructions and warranty process may result in the immediate deactivation of its customer account and/or the refusal to process Warranty claims.

  • The Warranty shall not apply if the defect is the result of abnormal use, in particular excessive use including overloading, improper maintenance, unintended use or use other than as specified in the instructions supplied with the Product, improper storage, assembly not in accordance with Valeo's instructions and specifications or contrary to good engineering practice. The Warranty shall not apply if Products are modified or combined with another component or program not approved by Valeo. Normal wear and tear is not a valid reason for a warranty claim. In addition, Valeo Service shall not be held liable in the event that the failure of one of its Products is caused by other adjacent components, or components with which it is combined in the Electric Vehicle.

  • A product is considered defective if the defect can be reproduced under normal conditions of use.

  • Any request for the implementation of the Warranty must be accompanied by a warranty claim notification report, prepared by the Bicycle Shop using the Valeo template available on request, and the purchase invoice of the product or the Electric Bicycle on which the defective product is installed. In addition, Valeo shall be entitled to request the return of the defective product for technical evaluation or visual inspection. The Bicycle Shop must follow Valeo's instructions regarding the conditions of return of the parts, including packaging and schedules.

  • In the event that the Bicycle Shop fails to return the Product within the Warranty period or returns a different product, or a product with a defect that does not match the description provided to the Valeo hotline or in the Warranty claim notification report, Valeo Service Smart Mobility or its representative shall have the right to cancel the acceptance of the Warranty claim and/or cancel any credit notes or invoices relating to the Warranty claim.

  • Valeo shall have the right to request the Bicycle Shop to suspend the sale of Products belonging to the same batch as the defective Product, for as long as it takes to process the Warranty claim.

  • The Warranty is expressly limited to the replacement, free of charge, or refund for the Products or components that Valeo has recognised as defective, to the exclusion of any compensation for any damage of any nature and for any cause whatsoever, and in particular to the exclusion of any compensation for consequential losses and damages of any kind whatsoever, with the exception of compensation due pursuant to a legal or regulatory provision.

  • The choice between repair, replacement or refund of a product recognised as defective shall be made exclusively by Valeo, depending on the nature of the Warranty procedure. Refunds will be made on the basis of the tariff in force on the date of the warranty claim.

  • Replacements made under the Warranty will extend the original warranty period of the replaced part by a period equal to the original period. The Bicycle Shop undertakes to install the replacement part immediately after receiving it from Valeo.

  • Labour costs may be partially covered for approved warranty claims, as decided by Valeo on a country-by-country basis. Any contribution by Valeo in these labour costs would be on a purely commercial basis. The extent of the labour involved, its duration and pricing shall be determined at Valeo's sole discretion.

  • The refund will be made on a self-invoicing basis, which is hereby accepted by the Bicycle Shop. According to this process:

    (i) upon confirmation of the acceptance of the warranty claim, the Bicycle Shop will receive an email with the confirmation of Valeo's decision to cover the labour costs for the selected part numbers.
    (ii) Valeo will issue the corresponding self-invoice in the name and on behalf of the Bicycle Shop. (iii) Valeo will pay the invoice within 30 days.

    The Bicycle Shop shall provide Valeo with the bank details in order to make the payment.

  • Valeo shall bear the transport costs and customs duties associated with the return of a Product under warranty for analysis. In the event of an irregular declaration, Valeo may decide to charge the Bicycle Shop for these costs.

  • Products or parts replaced or refunded under the Warranty shall become the property of Valeo.
